Coupon Terms and Conditions

These Coupon Terms and Conditions apply to the Coupon Form between eBay and Seller. All definitions in the Coupon Form will also apply to these Coupon Terms and Conditions.

  1. Coupon Offer

The Coupon will enable eBay users to redeem the Coupon Code on www.eBay.co.uk (the “Site”) in order to receive a discount against the purchase price of Included Items and/or items within the Included Categories, as described in the Coupon Form,  sold by Seller (“Coupon Offer”).

For each individual Coupon, the parties shall agree a Coupon Form over email, each of which shall be subject to these Coupon Terms and Conditions.

The Seller acknowledges and accepts that its participation in the Coupon does not create any eligibility or title to participate in future coupons or other promotions, and that eBay will promote the Coupon Offer at its sole discretion.

  1. Promotion Period

The Coupon Offer will be valid for the period of time specified in the Coupon Form in the “Promotion Period” section.

  1. Eligibility

Subject to Clause 11, the Coupon is open to business sellers who:

  • are registered on the Site;
  • have been invited to participate in the Coupon; and
  • agree to the Coupon Form. 

Participation is linked to the Seller’s account and is not transferable.

  1. Procedure

The Seller must click on “I AGREE” in the Coupon Form before the due date stated in the Coupon Form to agree to participate in the Coupon. The parties may agree in writing to amend the terms of each Coupon Form from time to time (email agreement shall suffice).

  1. Seller’s Obligations
    1. If the Seller advertises through the use of comparative pricing, it shall comply with eBay’s Comparative Pricing Policy, which is available at http://pages.ebay.co.uk/help/policies/comparative-pricing.html.
    1. The Seller shall use best endeavours to ensure that all the prices of the Included Items and/or items within the Included Categories reflect, or are lower than, those of the Seller’s mainstream business.
    1. Seller shall not increase the price of any of the Included Items and/or items within the Included Categories for a period of at least 14 (fourteen) days prior to the start of, or during, the Promotion Period.
    1. Seller shall comply with all applicable laws, and in particular must keep to the rules contained in the UK Code of Non-Broadcast Advertising and Direct & Promotional Marketing, as well as in the Guidance for Traders on Trading Practices issued by Trading Standards.
    1. Seller shall use its PayPal account or any other payment method agreed between the parties for purchasers’ payments and shall not change such payment method during the Promotion Period. Seller warrants that apart from the User ID(s) specified in any Coupon Form, no further User ID(s) is/are connected with the respective PayPal account.
  1. Costs and Funding
    1. The Seller will fund the Coupon Offer at the value stated in each executed Coupon Form under “Seller funding fee payable to eBay”, which shall be a percentage of the total aggregate discount amount resulting from the Coupon Offer during the Promotion Period.
    1. eBay shall determine the relevant billing process at its sole discretion, which shall be stated in the Coupon Form, and which shall be either of the following:
      1. Coupon Process A: The Seller will receive the full purchase price for the transaction less the relevant Coupon Amount or Percentage at checkout. eBay will reimburse the Seller within 45 (forty-five) days after the end of the Promotion Period (“Reimbursement Date”) for eBay’s share of the cost of the Coupon Offer.
      1. Coupon Process B: The Seller will receive the full purchase price for the transaction at checkout. eBay will invoice the Seller within 90 (ninety) days after the end of the Promotion Period (“Billing Date”) for the Seller’s share of the Coupon Amount or Percentage. The Seller shall pay its share of the Coupon Amount or percentage to eBay as part of the invoice within 14 (fourteen) days of the Billing Date.
    1. The parties agree that no recalculation of the Seller funding fee payable to eBay (as applicable) shall be made after the Billing Date or the Reimbursement Date (as applicable). Returns, chargebacks and repayments made after the Billing Date or the Reimbursement Date (as applicable) shall not be taken into account. The calculation shall be based solely on eBay’s internal reporting, which shall take into account any transactions completed (including any reverse payment transactions and returns associated with repayment) during the Promotion Period when calculating the total discount amount redeemed as part of the Coupon Offer, until the Billing Date or the Reimbursement Date, whichever is applicable.
    1. The Seller agrees that eBay shall not pay a subsidy to the Seller in relation to the Coupon Offer in the following circumstances:
      • (i) if the item is returned by the purchaser and a refund is issued;
      • (ii) if the item is not paid for in full by the purchaser or the purchase is cancelled;
      • (iii) if any item available for purchase in connection with the Coupon Offer is purchased by the Seller or its affiliate(s), or by the Seller in collusion with a third party; or
      • (iv) in relation to any items which are not sold during the Promotion Period.
  1. eBay’s Audit Rights
      1. The Seller shall keep and maintain for a period of at least 2 (two) years after the end of the Promotion Period all appropriate books and records relating to the Coupon and the Coupon Offer, including records of purchases, deliveries and returns (“Records”).
      1. eBay may, by providing 15 (fifteen) days’ prior written notice to the Seller, ask the Seller to provide any information reasonably required for the purpose of verification of the Records. For the avoidance of doubt, eBay acknowledges and accepts that this clause shall in no way be construed as to create a right for eBay or any third party to access and audit any other documentation or information other than any documentation or information as is reasonably necessary to reasonably assess the Seller’s compliance with these Coupon Terms and Conditions.
  1. Confidentiality

The Seller shall not at any time use or disclose these Coupon Terms and Conditions or any terms in connection with the Coupon to any third party, except as required by law or any legal or regulatory authority, other than with eBay’s express written consent.

  1. Indemnity

The Seller agrees to defend, indemnify and hold harmless eBay, its affiliates (within the meaning of the Companies Act 2006), officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts, fines, penalties and/or expenses (including but not limited to legal fees) arising from:

  • (i) the Seller’s violation of any term of these Coupon Terms and Conditions or referenced herein;
  • (ii) the Seller’s product and any information it has provided;
  • (iii) the Seller’s content and/or mark;
  • (iv) the late removal of coupon codes after the end of the Promotion Period; and/or
  • (v) the infringement in or by any of the Seller’s listings and/or content of any third party intellectual property rights, including without limitation any copyright, property, or privacy right.
  1. Termination
    1. Either party may terminate each Coupon Form without cause by providing 30 days’ prior written notice to the other party before the start of the Promotion Period.
    1. Either party may terminate each Coupon Form with immediate effect if the other is in breach of any provision of these Coupon Terms and Conditions or the Coupon Form.
    1. The parties may terminate each Coupon Form by mutual agreement (email shall suffice).
    1. Clauses 5, 6, 7, 9 and 10 will survive termination or expiration of these Coupon Terms and Conditions.
  1. Restrictions and exclusions

The following are excluded from eligibility:

  • Private sellers.
  • Sellers who have not been invited to participate.
  • Sellers who do not meet eBay’s minimum seller performance standards. Please sign in to My eBay and view your Seller Dashboard to verify whether your account is currently meeting the
  • Sellers who have been invited to participate, but who have not actively agreed to participate in the Coupon.
  • Identical listings that don’t comply with our duplicate listings policy.
  • Any items listed that don’t comply with eBay’s listing policiesor prohibited and restricted items policies.
  • Any items listed in the classified formats.
  • Any items listed in the ‘Property’, ‘Cars, Motorcycles & Vehicles’ and ‘Coins, Banknotes & Bullion’ categories. However, please note that items listed in the ‘Vehicle Parts & Accessories’ category are included.

Any items listed during the Promotion Period but scheduled to go live after the end of the Promotion Period.

  1. General

Any attempt to manipulate the Coupon and/or the Coupon Offer is prohibited and will result in exclusion from participation.

eBay reserves the right to suspend, change or cancel the Coupon and/or the Coupon Offer at any time, in the event of circumstances arising which, in eBay's opinion, make it necessary for it to do so. eBay reserves the right to add additional terms and conditions for certain parts of the Coupon and/or the Coupon Offer. 

eBay also reserves the right to exclude sellers on the basis that their accounts have fallen below the minimum required seller performance standards or for any reason in eBay’s absolute discretion. Sellers should confirm their eligibility by checking their account status in ‘My eBay’.

The decision of eBay regarding any aspect of the Coupon and/or the Coupon Offer is final and no correspondence will be entered into.

eBay reserves the right to verify the Seller’s eligibility to participate in the Coupon.

eBay may also disqualify any seller who does not act in accordance with these Coupon Terms and Conditions (or is acting in a way which contravenes the  spirit  and intention of these Coupon Terms and Conditions) or eBay's User Agreement, and/or any policies that eBay may communicate to the Seller.

These Coupon Terms and Conditions are governed by the laws of England and Wales. Each party irrevocably agrees to the exclusive jurisdiction of the English courts over any claim or matter arising under these Coupon Terms and Conditions.

  1. Limitation of liability

eBay makes no representations or warranties of any kind regarding any product or service provided by any third party in connection with the Coupon and/or the Coupon Offer.

eBay shall not be liable, in contract or tort (including negligence) or the breach of statutory duty or in any other way, for the loss or damage howsoever arising suffered by the Seller resulting directly or indirectly from participation in the Coupon.

Nothing in these Coupon Terms and Conditions shall limit eBay's liability for death or personal injury resulting from negligence or fraud.

eBay will not be responsible for any third party's performance or failure to perform any services related to the Coupon and/or the Coupon Offer, or for any costs, damages, accident, delay, injury, loss, expense, or inconvenience that may arise in connection with the use of the Coupon Offer, provided that nothing shall limit eBay's liability for death or personal injury caused by its negligence.

eBay does not accept, and is not responsible for, any lost or delayed acceptance of any Coupon Forms. eBay reminds sellers of the nature and limitations of the Internet and is not responsible for any problems or technical malfunctions of any communications network, online system or computer hardware or software that may affect participation in the Coupon and/or the Coupon Offer.

While eBay will use reasonable efforts to ensure that all information relating to the Coupon and/or the Coupon Offer ("Coupon Material") is accurate, eBay is not responsible for any problems or technical malfunctions of any communications network, online system or computer hardware or software failure that may affect eBay's operation of the Coupon and/or the Coupon Offer, or the Site, including without limitation the accuracy of any Coupon Material.

  1. Organiser

The Coupon and the Coupon Offer are organised by eBay (UK) Limited, who may carry out this organisation through its local subsidiaries, and whose address is 1 More London Place, London, SE1 2AF, United Kingdom.
