These Business Seller FVF Discount Terms and Conditions apply to the FVF Discount Form between eBay and Seller. All definitions in the FVF Discount Form will also apply to these Business Seller FVF Discount Terms and Conditions.
1. Promotion Period
The final value fees (“FVF”) discount (“Promotion”) will be valid for the period of time specified in the FVF Discount Form in the “Promotion Period” section.
Only listings which sell during the Promotion Period will be eligible.
2. Eligibility
Subject to clause 4, the Promotion is open to business sellers who:
- are registered on eBay.co.uk (the “Site”);
- have been invited to participate in the Promotion via an FVF Discount Form; and
- agree to the FVF Discount Form, including any Additional Terms stated in the FVF Discount Form.
If a “Maximum Recommended Price” is stated or referenced FVF Discount Form (for example – in a spreadsheet attached to the FVF Discount Form), only items that sell at a price below or equal to the Maximum Recommended Price will be eligible. Items which sell for a price above the “Maximum Recommended Price” will not be eligible for the Promotion but will otherwise be unaffected.
Participation is linked to the Seller’s account and is not transferable.
3. Promotion and Procedure
eBay charge an FVF when your item(s) sell(s). The FVF charged per order consists of: (i) a variable portion (“Variable Portion FVF”) which is calculated as a percentage of the Total Sale Amount; and (ii) a fixed portion (“Fixed Portion FVF”) for example 30p, as per the terms of your Special Pricing Agreement with eBay. The Total Sale Amount means the amount the buyer pays for an order, including any shipping charges. An order is any number of items purchased by the same buyer at checkout with the same shipping method.
The FVF Discount shall apply to the items: (i) stated in the FVF Discount Form in the ‘Applicable to’ section which are sold during the Promotion Period on the Site;(ii) not excluded as per clause 4; and (iii) that sell for a price equal to or below the “Maximum Recommended Price”, if it is stated or referenced in the FVF Discount Form (collectively “Eligible Item(s)”).
The FVF Discount applies to the Variable Portion FVF (net of any other discounts) in respect of the Eligible Items’ Total Sale Amounts. For example, if You pay 10% in FVF for the sale of an item with £100 price and You agree to a 50% FVF discount, You will be credited £5 of the £10 FVF. The Fixed Portion FVF (e.g. 30p) will not be discounted.
The Seller must click on “I AGREE” in the FVF Discount Form as soon as is practicable but in any event before the start of the Promotion Period to accept the Promotion. The parties may agree in writing to amend the terms of each FVF Discount Form from time to time (email agreement shall suffice).
The full FVF will be charged during the Promotion Period. The total FVF Discount will be credited to the Seller’s account within 60 days of the end of the Promotion Period. Please note that such credit may subsequently be reversed to account for any outstanding returns or cancellations.
Any other fees, including insertion fees and listing upgrade fees, will still apply and will be charged in accordance with eBay fees policy. Please note that any third-party fees still apply, and that existing selling limits still apply and are not affected by the Promotion. Please note that any FVF Discount amounts are exclusive of VAT. The FVF Discount credited to your account will follow the same VAT treatment as the initial fees charged during the Promotion Period.
4. Restrictions and exclusions
The following are excluded:
- Private sellers.
- Sellers who have not been invited to participate.
- Sellers who do not meet eBay’s minimum seller performance standards. Please sign in to My eBay and view your Seller Dashboard to verify whether your account is currently meeting the
- Sellers who have been invited to participate, but who have not actively accepted the FVF Discount Form.
- Identical listings that don’t comply with our duplicate listings policy.
- Any items listed that don’t comply with eBay’s listing policies or prohibited and restricted items policies.
- Any items listed in the classified formats.
- Any items listed in the ‘Property’, ‘Cars, Motorcycles & Vehicles’ and ‘Coins, Banknotes & Bullion’ categories. However, please note that items listed in the ‘Vehicle Parts & Accessories’ category are included.
- Any items listed during the Promotion Period but sell after the end of the Promotion Period.
- Any items that sell for a price above the “Maximum Recommended Price”, if such a price is stated or referenced in the FVF Discount Form.
Please note that any discount which exceeds any applicable FVF Cap will not be credited. For example, if an Eligible Item has an FVF Cap of £20, you will be credited a maximum of £20 for the sale of that Eligible Item.
5. Confidentiality
The Seller shall not at any time use or disclose these Business Seller FVF Discount Terms and Conditions, the FVF Discount Form or any terms in connection with the Promotion to any third party, except as required by law or any legal or regulatory authority, other than with eBay’s express written consent.
6. General
Any attempt to manipulate the Promotion is prohibited and will result in exclusion from participation.
eBay reserves the right to suspend, change or cancel the Promotion at any time, in the event of circumstances arising which, in eBay's opinion, make it necessary for it to do so. eBay reserves the right to add additional terms and conditions for certain parts of the Promotion.
eBay also reserves the right to exclude users on the basis that their seller accounts have fallen below the minimum required seller performance standards or for any reason in eBay’s absolute discretion. Sellers should confirm their eligibility by checking their account status in ‘My eBay’.
The decision of eBay regarding any aspect of the Promotion is final and no correspondence will be entered into.
eBay reserves the right to verify the Seller’s eligibility for the Promotion.
eBay may also disqualify any seller who does not act in accordance with these Business Seller FVF Discount Terms and Conditions (or is acting in a way which contravenes the spirit and intention of these Business Seller FVF Discount Terms and Conditions) or eBay's User Agreement, and/or any policies that eBay may communicate to you.
These Business Seller FVF Discount Terms and Conditions are governed by the laws of England and Wales. Each party irrevocably agrees to the exclusive jurisdiction of the English courts over any claim or matter arising under these Business Seller FVF Discount Terms and Conditions.
7. Limitation of liability
eBay makes no representations or warranties of any kind regarding any product or service provided by any third party in connection with the Promotion.
eBay shall not be liable, in contract or tort (including negligence) or the breach of statutory duty or in any other way, for the loss or damage howsoever arising suffered by the Seller resulting directly or indirectly from entry to the Promotion. Nothing in these Business Seller FVF Discount Terms and Conditions shall limit eBay's liability for death or personal injury resulting from negligence or fraud.
eBay will not be responsible for any third party's performance or failure to perform any services related to the Promotion, or for any costs, damages, accident, delay, injury, loss, expense, or inconvenience that may arise in connection with the use of the Promotion, provided that nothing shall limit eBay's liability for death or personal injury caused by its negligence.
eBay does not accept, and is not responsible for, any lost or delayed acceptance of any FVF Discount Forms. eBay reminds sellers of the nature and limitations of the Internet and is not responsible for any problems or technical malfunctions of any communications network, online system or computer hardware or software that may affect the Seller’s entry into the Promotion.
While eBay will use reasonable efforts to ensure that all information relating to the Promotion ("Promotion Material") is accurate, eBay is not responsible for any problems or technical malfunctions of any communications network, online system or computer hardware or software failure that may affect eBay's operation of the Promotion or the Site, including without limitation the accuracy of any Promotion Material.
